Domestic chip leader GUOXIN MICRO continued its growth momentum in the first half of the year. In the first half of 2026, the company achieved operating revenue of RMB 3.443 billion, a year-on-year increase of 13.00%; net profit attributable to shareholders of the listed company was RMB 798 million, up 15.29% year-on-year, with profit growth outpacing revenue growth, indicating steady improvement in profitability.
Meanwhile, the net cash flow from operating activities reached RMB 827 million, a year-on-year increase of 73.14%, significantly higher than the net profit growth rate, further strengthening the cash generation capability of its core business.
In terms of earnings quality, the company's net profit attributable to shareholders of the listed company after deducting non-recurring gains and losses amounted to RMB 708 million in the first half, a year-on-year increase of 8.35%; basic earnings per share were RMB 0.9495, up 15.71% year-on-year. The asset-liability ratio at the end of the period dropped to 25.64%, down 1.76 percentage points from the end of the previous year, while the weighted average return on equity rose to 5.65%.
Amid steady performance growth, the company has continuously optimized its asset-liability structure, leaving room for subsequent business expansion and capital operations.

Acquisition of Ruineng Semiconductor: Restructuring Enters Key Review Phase
Compared to performance growth, the ongoing acquisition of Ruineng Semiconductor holds greater strategic significance. GUOXIN MICRO plans to acquire 100% equity interest in Ruineng Semiconductor Technology Co., Ltd. through the issuance of shares and cash payments. The transaction has currently entered the inquiry stage under review by the Shenzhen Stock Exchange.
The company suspended trading on December 30, 2025, to plan the transaction. The transaction proposal was reviewed and approved on January 13, 2026; the draft restructuring report was reviewed and approved on May 21; relevant proposals were reviewed and approved by the extraordinary general meeting of shareholders on June 8; and the application was accepted by the Shenzhen Stock Exchange on June 17. On June 30, the Shenzhen Stock Exchange issued an inquiry letter regarding the review, and the company completed its response and revised the application documents on July 24.
Affected by the 2025 annual profit distribution, the issue price for the share-based asset purchase was adjusted from RMB 61.75 per share to RMB 61.45 per share, corresponding to approximately 24.7355 million shares to be issued. However, the transaction still needs to pass procedures such as the review by the Shenzhen Stock Exchange and registration with the China Securities Regulatory Commission, so there remains uncertainty regarding its final completion. If the restructuring is successfully completed, the company's semiconductor business landscape is expected to broaden further.
Cancellation of Repurchased Shares; Dividends and Shareholder Returns Continuously Delivered
Beyond capital operations, the company is also continuously optimizing its share capital structure. On July 22, GUOXIN MICRO cancelled 6.396 million repurchased shares, accounting for 0.75% of the total share capital before cancellation. After the cancellation, the company's total share capital decreased from 850 million shares to 843 million shares, helping to improve per-share indicators.
Regarding shareholder returns, the company's 2025 equity distribution was completed on June 30, based on 840 million shares (after deducting repurchased shares), distributing a cash dividend of RMB 3.099995 (including tax) for every 10 shares. In addition, the "Guowei Convertible Bond" completed its fifth-year interest payment on June 10, with a coupon rate of 1.80% and a bond balance of approximately RMB 1.492 billion, maturing in June 2027.
As of the end of June, the total number of shareholders was 194,400. The controlling shareholder, Tibet Unigroup Chunhua, held 26.00% of the shares, maintaining a stable controlling position. Overall, while core business grows steadily and cash flow improves significantly, the restructuring of Ruineng Semiconductor has entered a key review phase, which may become an important variable in expanding the boundaries of the company's semiconductor business in the next stage.
